Dear MPS Investors,

We’re excited to announce a strategic partnership with Flock Safety, the nation’s leading community safety technology provider. With over 6,000 municipal and private customers –including cities, HOAs, schools, and commercial centers – Flock operates the largest automated license plate recognition (LPR) camera network in the country. This collaboration delivers benefits across MPS’ on-street, lot/garage, and SafetyStick businesses.

Flock’s solar-powered cameras scan vehicle plates at key access points and instantly alert law enforcement when flagged vehicles – those linked to outstanding warrants, stolen cars, or AMBER alerts – enter a community. Their rapid growth is backed by a recent $225 million private equity raise at a $7 billion valuation.

Why This Partnership Matters for MPS

1. Embedded Public Safety Integration for MPS Customers
MPS customers can now activate real-time law enforcement alerting using their existing MPS camera infrastructure – for a modest additional monthly fee. Previously, Flock’s alerts only triggered when a vehicle of interest entered a city or community. Now, through MPS’ integration, alerts can be sent when a vehicle of interest actually parks – adding a new dimension to public safety and enabling joint marketing opportunities for both platforms.

2. Seamless Upgrade Path for Flock Customers to Activate MPS Enforcement
MPS can tap into Flock’s existing camera installations and, where appropriate, enable automated parking monitoring and enforcement. Many Flock-equipped locations – such as malls, schools, and retail centers – already monitor vehicles for safety purposes. With minimal additional infrastructure (in some cases, just a second camera for exit coverage), these sites can be upgraded to full MPS enforcement platforms at a fraction of the usual cost.

3. Patent-Backed Market Exclusivity
MPS is the only parking enforcement platform legally authorized to integrate with Flock’s LPR network for enforcement purposes – providing a durable competitive advantage in the 5,000+ cities already using Flock, including major metros like Minneapolis and Austin. Going back to some of our earlier patents such as #11,257,172 (November 6, 2018 and more recently #12,142,085 (November 12, 2024) MPS has direct patented claims related to the notification to law enforcement of a vehicle entering a parking lot as part of an LPR based parking management and enforcement system.

4. Expanded Market Access
Flock’s compact solar-powered cameras create new deployment options for MPS in environments where our larger solar rigs may not be feasible – opening previously unreachable revenue opportunities.

5. Strong Early Traction
In just the past few weeks, we socialized the Flock integration benefits with select customers – and the response significantly exceeded expectations. Several major clients, such as City of Memphis, New Orleans, Fort Myers, quickly requested to be upgraded to the MPS-Flock service, generating new fixed recurring revenue and awarding additional lots to MPS/Premium. Over 75 existing Premium/MPS sites are already slated for immediate upgrade.  Flock is providing a webinar to our partner Premium Parking’s 50+ regional Presidents in two weeks as we officially kick-off our marketing efforts of this exciting new product offering.

This partnership significantly enhances our platform’s reach, accelerates recurring revenue, and reinforces MPS’ leadership in automated parking enforcement and public safety.

Please see the attached press release for more details. As always if you have any questions please call me.

Hold on to your Hat!!

Thanks

Joe
